Job Description:

A global investment firm with over 20 years of success, seeks to hire a Registered Fund Counsel to join their legal group.

In this role, you will primarily assist in structuring and growing the firm’s U.S. registered funds business and provide legal support for all sponsored U.S. registered investment and sub-advisors. The candidate will work closely with the compliance, fund treasury, business development, operations, and tax teams.

Some responsibilities include but are not limited to:

  • Provide legal advice and support to senior management and various teams across the firm on all regulatory matters relating to Registered Funds and Sub-Advised Funds (e.g. providing advice under the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Securities Act of 1933).
  • Assist in the structuring, registration, and launch of new Registered Funds.
  • Assist in the preparation of materials for, and the coordination of Registered Funds Board of Trustees Meetings.
  • Draft and review Registered Funds policies and procedures under Rule 38a-1 of the 1940 Act.


  • Law Degree (JD) and you must be a member of the bar in good standing of a U.S. state or the District of Columbia.
  • Minimum 5-7 years’ experience in advising registered investment companies and their investment advisers at a law firm with a recognized asset management specialty group, institutional asset manager, regulatory agency or financial services firm.
  • Strong understanding of the Investment Company Act of 1940 and Investment Advisers Act of 1940.
  • Experience with the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Exceptional verbal and written communications skills, including high competencies in strategic thinking and negotiation.
